END USER LICENSE AGREEMENT (EULA) Effective Date: June 1, 2026 Last Updated: June 1, 2026 AxonStellar — Aexyr Platform https://axonstellar.com ================================================================================ PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE. BY USING, INSTALLING, OR ACTIVATING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS END USER LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SOFTWARE. ================================================================================ 1. DEFINITIONS "Software" means the Aexyr platform, including all Docker images, source code, documentation, prompts, engrams, knowledge systems, and associated files distributed by AxonStellar. "License Key" means the digital key issued by AxonStellar that activates the Software for use. "Instance" means a single running Docker container of the Software. "User Content" means all projects, services, databases, code, files, configurations, and data created by the user within the Software. "Trial Period" means the 10-day evaluation period beginning at first launch of a new Software installation. "You" or "User" means the individual or entity that has obtained the Software and accepted this Agreement. 2. GRANT OF LICENSE Subject to the terms of this Agreement, AxonStellar grants You a non-exclusive, non-transferable, non-sublicensable license to: a) Install and run the Software on one (1) Instance per License Key. b) Use the Software for any lawful purpose, including commercial use. c) Create, modify, and deploy projects and services within the Software without restriction. This license is bound to the major version of the Software for which the License Key was issued (e.g., a v1 key is valid for all v1.x.x releases). Major version upgrades may require a new License Key. 3. LICENSE KEY BINDING Each License Key is permanently bound to the first Instance on which it is activated. Once activated, a License Key cannot be transferred, deactivated, or reused on a different Instance. Activation requires a one-time internet connection to the AxonStellar activation server. After successful activation, the Software operates fully offline with no further network requirements for license validation. If You require additional Instances, additional License Keys must be purchased. 4. TRIAL PERIOD The Software includes a 10-day Trial Period beginning at first launch of each new installation. During the Trial Period, all Software functionality is available without a License Key. The Trial Period expires automatically. No payment information is collected during the trial. No obligation exists to purchase a License Key after the Trial Period ends. Upon expiration of the Trial Period, the Software will restrict access until a valid License Key is activated. 5. OWNERSHIP OF USER CONTENT You retain full and exclusive ownership of all User Content created within the Software. AxonStellar claims no rights, ownership, or interest in Your User Content. You may export, copy, distribute, and use Your User Content freely and without restriction, including after license expiration or termination of this Agreement. The Software provides project data export capabilities that are available throughout the Trial Period and during licensed use. You are encouraged to export Your User Content prior to the expiration of the Trial Period or the termination of this Agreement. All User Content is stored locally within Docker volumes on Your host machine. Your data remains accessible on the host file system independent of the Software's license state. Even if the Trial Period expires or this Agreement terminates, Your User Content persists in the Docker volumes under Your control and is not deleted, locked, or made inaccessible by the Software. AxonStellar does not access, collect, store, or transmit Your User Content at any time. 6. RESTRICTIONS You may NOT: a) Redistribute, sublicense, sell, lease, or rent the Software or any License Key to any third party. b) Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software, except as permitted by applicable law. c) Circumvent, disable, or tamper with the licensing mechanisms, trial system, or activation process. d) Share, transfer, publish, or make available any License Key to any third party. e) Remove, alter, or obscure any copyright notices, license notices, or proprietary markings. f) Use the Software to build a product that directly competes with the Aexyr platform. 7. THIRD-PARTY SERVICES AND API KEYS The Software integrates with third-party services (including large language model providers) through user-provided API keys. a) You are solely responsible for obtaining and paying for third-party API access. b) AxonStellar is not responsible for costs, outages, data handling, or terms of service of third-party providers. c) You are responsible for compliance with all third-party provider terms of service. d) Third-party API keys are stored locally within Your Instance and are never transmitted to AxonStellar. 8. DATA PRIVACY The Software is designed for local operation: a) All processing occurs within Your Docker container. b) No telemetry, analytics, usage data, or diagnostics are collected or transmitted to AxonStellar. c) License validation is performed offline after initial activation (see Section 3). d) The only network communication initiated by the Software to AxonStellar is the one-time license activation request. 9. WARRANTY DISCLAIMER THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. AI AGENT OUTPUTS ARE NOT GUARANTEED TO BE CORRECT, COMPLETE, SECURE, OR SUITABLE FOR PRODUCTION USE. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, TESTING, AND VALIDATING ALL CODE, CONFIGURATIONS, AND OUTPUTS GENERATED BY THE SOFTWARE. 10. LIMITATION OF LIABILITY AND INDEMNIFICATION IN NO EVENT SHALL AXONSTELLAR, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE, INCLUDING BUT NOT LIMITED TO: a) Loss of data or User Content. b) Service outages or downtime of user-deployed services. c) Security vulnerabilities in user-deployed configurations. d) Costs incurred through third-party API usage. e) Business interruption or lost profits. f) Any actions, decisions, or outcomes resulting from code, configurations, services, or outputs generated by the Software's AI agent or any automated processes. g) Any legal claims, regulatory actions, fines, penalties, or liabilities arising from Your use of the Software or any content, services, or applications created, deployed, or operated using the Software. h) Any damages arising from the use of third-party services, APIs, models, or integrations accessed through the Software. i) Any consequences of decisions made in reliance upon outputs, recommendations, or code generated by the Software. AXONSTELLAR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE LICENSE KEY. YOU ACKNOWLEDGE THAT THE SOFTWARE INCLUDES AN AI AGENT CAPABLE OF GENERATING CODE, EXECUTING COMMANDS, DEPLOYING SERVICES, AND PERFORMING AUTOMATED ACTIONS. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, APPROVING, AND SUPERVISING ALL ACTIONS TAKEN BY THE SOFTWARE. AXONSTELLAR IS NOT RESPONSIBLE FOR ANY CONSEQUENCES ARISING FROM THE USE, DEPLOYMENT, OR EXECUTION OF AI-GENERATED OUTPUTS. YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS AXONSTELLAR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEY FEES) ARISING OUT OF OR RELATED TO: a) Your use of the Software. b) Your violation of this Agreement. c) Your violation of any applicable law or regulation. d) Any content, services, or applications You create, deploy, or operate using the Software. e) Any third-party claims arising from Your use of the Software or any outputs generated by the Software. f) Any actions taken by the Software's AI agent under Your direction or within Your Instance. 11. TERMINATION This Agreement is effective until terminated. a) AxonStellar may terminate this Agreement if You breach any of its terms. b) You may terminate this Agreement at any time by deleting the Software and all copies. c) Upon termination, You must cease all use of the Software. You retain full ownership and access to Your User Content. 12. REFUND POLICY All purchases are processed by Paddle, our Merchant of Record. You may request a refund within fourteen (14) days of your purchase date by contacting [email protected]. Refund requests are processed through Paddle in accordance with their policies and applicable consumer protection laws. The Software includes a 10-day Trial Period with full platform functionality for evaluation purposes before purchase. We strongly recommend using the Trial Period to confirm the Software meets your needs. 13. OPEN-SOURCE COMPONENTS The Software incorporates open-source components as detailed in the THIRD-PARTY-NOTICES.md file included with the Software. Open-source components remain under their respective licenses. This Agreement applies exclusively to the proprietary portions of the Software created by AxonStellar. 14. GOVERNING LAW AND DISPUTES This Agreement shall be governed by and construed in accordance with applicable law. Any disputes arising under this Agreement shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration. 15. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between You and AxonStellar regarding the Software and supersedes all prior agreements, representations, and understandings. AxonStellar reserves the right to modify this Agreement. Updated terms will be included with new releases of the Software. Your continued use of the Software after receiving updated terms constitutes acceptance of the modified Agreement. ================================================================================ By using the Aexyr platform, You acknowledge that You have read, understood, and agree to be bound by this End User License Agreement.
